Additional Terms and Conditions of Use for
FCA Digital – AIM Services

IMPORTANT – READ CAREFULLY: These Additional Terms and Conditions of Use for the FCA Digital – AIM Services (these “Additional Terms”) modify, supplement and amend the Universal Terms and Conditions of Use (the “Master Terms”) between Sanctus, LLC doing business as Shift Digital (“Shift Digital”) and You. These Additional Terms and the Master Terms are collectively referred to as the “Agreement.”

IN ORDER TO USE THE AIM PROCESS INTRO PACKAGE SERVICES, THE AIM DEALNET LEAD SAVING PROGRAM PACKAGE SERVICES, AND/OR THE AIM COMPLETE SOLUTION PACKAGE SERVICES (COLLECTIVELY THE “AIM SERVICES”) PROVIDED BY AUTOMOTIVE INTERNET MANAGEMENT, INC. (“AIM”),  YOU MUST FIRST AGREE TO THESE ADDITIONAL TERMS BY CLICKING “I AGREE” BELOW.  IF YOU DO NOT AGREE WITH THESE ADDITIONAL TERMS, DO NOT ACCESS, OR IN ANY WAY USE, THE AIM SERVICES AND IMMEDIATELY EXIT FROM THIS SCREEN.  IF YOU DO NOT AGREE TO ALL OF THESE ADDITIONAL TERMS, YOUR USE OF THE AIM SERVICES IS STRICTLY PROHIBITED.

In the event of any inconsistency between these Additional Terms and the Master Terms, these Additional Terms shall govern and control.  In all other respects, the Master Terms are and shall remain in full force and effect.  Unless expressly indicated to the contrary herein below, the defined terms used in these Additional Terms shall have the meanings ascribed to them in the Master Terms.  “Services” as defined in the Master Terms shall include the AIM Services.

You may not use AIM Services and may not accept these Additional Terms if (a) You are not of legal age to form a binding contract with Us, (b) You are not authorized to bind the company to which the AIM Services is being provided, or (c) You have not previously agreed to the Master Terms.

Before You continue, You should PRINT or SAVE a local copy of these Additional Terms for your records.
 
1. Additional Terms Relating to the AIM Services
1.1 Shift Digital agrees to provide the AIM Services to You in accordance with the terms and conditions of this Agreement. The AIM Services may be provided by Us, AIM, or by one or more other third party service providers (“Service Providers”). Shift Digital, in its sole discretion, may change any Service Provider, at any time and for any reason. You understand and agree that the AIM Services include services that are advisory and involve judgment based on education and experience, and may not increase sales or revenue or other specific results.

1.2 The AIM Services may include some or all of the products and services described in Addendum A attached hereto, depending upon the service package You select.

1.3 You agree to comply with all reasonable requests of Shift Digital and AIM and provide reasonable access to all documents and information reasonably necessary to perform the AIM Services.
 
2. Use of Services
Shift Digital reserves the right to modify or change the AIM Services provided hereunder by modifying current features, deleting features and/or adding features, upon sixty (60) days prior written notice to You. Some modifications or changes may result in a fee increase or decrease for such AIM Services. Your continued use of the AIM Services hereunder after the sixty (60) day notice period will constitute Your acceptance of the change in the AIM Services and Your agreement to pay the fees associated with such change in the AIM Services.
 
3. Confidentiality
3.1 In connection with the AIM Services, You may receive or have access to certain AIM proprietary  and/or confidential information, including without limitation, the following (whether or not patentable, copyrightable, or registerable under any intellectual property laws or industrial property laws in the United States or elsewhere and however conveyed): information about Internet sales, utilization of Internet customer leads, communications with other AIM customers, AIM customer origination, AIM effective sales processes and other information (“Proprietary Information”) You agree to maintain the Proprietary Information in confidence as set forth in section 3.2 below, unless You can document by competent written proof that: (i) the information is or becomes publicly known through lawful means; (ii) the information was rightfully in Your possession prior to receipt from AIM; or (iii) the information is disclosed to You without confidential or proprietary restriction by a third party who rightfully possesses the information (without confidential or proprietary restriction). You understand that your use of the AIM Services creates a relationship of confidence and trust between You and AIM with respect to the Proprietary Information.

3.2 Except in connection with Your use of the AIM Services as authorized under these Additional Terms, You agree to keep in confidence and trust and not use or disclose any Proprietary Information without the prior written consent of an authorized representative of AIM. You acknowledge that any disclosure or unauthorized use of Proprietary Information will constitute a material breach of these Additional Terms and cause substantial harm to AIM for which monetary damages would not be a fully adequate remedy and, therefore, in the event of any such breach, in addition to other available remedies, either Shift Digital or AIM will have the right to seek and obtain injunctive relief.
 
4. Non-solicitation of AIM Employees
You agree that from the commencement of the AIM Services until the date that is twelve (12) months following any termination of the AIM Services, You will not encourage or solicit any employee or consultant of AIM (or any of its affiliates) to leave the employ of AIM for any reason.
 
5. Payment of Fees and Billing
5.1 You agree to pay the fees for the AIM Services in the amounts set forth in the online registration process or, if an order form was used, on the order form, including the Travel Expenses as set forth in section 5.2. The fees for the AIM Services, including the Travel Expenses, shall be billed to and You agree to pay same through Your FCA dealer parts statement.

5.2 You agree to pay the travel expenses for AIM personnel to travel to Your premises to provide the AIM Services in the amounts billed to you, including airfare (coach), meals, hotel and ground transportation (“Travel Expenses”). The Travel Expenses shall be invoiced at the cost incurred without markup by Shift Digital or AIM.  The Travel Expenses shall be in addition to the other fees payable by You for the AIM Services.

5.3 If You enroll on or before the 24th day of the month, the set-up fees for the service package YOU select will be billed in Your FCA Parts Statement for that month; if you enroll after the 24th day of the month, set-up fees will be billed in Your FCA Parts Statement for the following month. Monthly services fees for the service package You select will be billed monthly in advance through Your FCA Parts Statement, commencing in the month the monthly AIM Services begin if the start date is on or before the 24th of the month, or commencing in the following month if the start date is after the 24th of the month.

5.4 Cancellations that occur on or before the 10th day of each calendar month will be billed for the remainder of that month. Cancellations that occur after the 10th of any month will be billed for the remainder of that month and the following month.

5.5 Except as set forth otherwise herein, all charges will be due and payable as specified on and consistent with the payment terms of the FCA dealer parts statement.

5.6 Shift Digital may increase fees by giving You not less than thirty (30) days written notice prior to the effective date of the price increase.

5.7 If You fail to pay for the AIM Services timely through your FCA dealer parts account, You agree to pay to Shift Digital, in addition to the fees for the AIM Services: (i) a finance charge equal to the lower of 1.5% per month or the maximum amount permitted by law, and (ii) all costs incurred in connection with collection of past due amounts (including collection agency fees and reasonable attorney fees).
 
6. Taxes
All fees stated hereunder are subject to applicable sales, use, excise or similar taxes, whether or not included at the time the fees are billed. You assume exclusive liability for, and shall pay before delinquency, all sales, use, excise and other taxes, charges or contributions of any kind now or hereafter imposed on, with respect to, or measured by the AIM Services except for taxes based on the net income of Shift Digital or AIM.
 

7. No Agency
Neither AIM nor any of its employees or agents is an employee of Dealer for any purpose whatsoever, including local, state, federal and foreign taxes and workers’ compensation insurance, but is an independent contractor.  Neither this Agreement, any relationship created pursuant to this Agreement, nor any course of dealing between You and AIM is intended to create, or will create, an employment relationship, a joint venture, partnership or any similar relationship.  Dealer shall not be responsible for the manner and means of performing the AIM Services under this Agreement.  AIM does not have, nor will AIM hold itself out as having, any right, power or authority to create any contract or obligation, either express or implied on Your behalf of, or in Your name, or binding You, unless expressly authorized by You to do so and, if so authorized, then only to the extent so authorized.
 

8. Term, Cancelation and Termination

8.1 Your rights to cancel the AIM Services, when there has NOT been a material default under this Agreement, is determined by the service package you select as follows:

Process Intro Package = You may cancel at any time if online cancellation functionality is available, or, if not available, with not less than thirty (30) days prior written notice to Shift Digital.

AIM DealNet Lead Saving Program Package = You may cancel at any time if online cancellation functionality is available, or, if not available, with not less than thirty (30) days prior written notice to Shift Digital.

AIM Complete Solution Package = You may cancel effective after the date that is six (6) months after the date monthly services start, if online cancellation functionality is available, or, if not available, with not less than thirty (30) days prior written notice to Shift Digital.

8.2 If Shift Digital materially defaults in its performance under this Agreement and fails either substantially to cure such default within ten (10) days after receiving written notice specifying the default or, for those defaults that cannot reasonably be cured within ten (10) days, fails to promptly commence curing such default and thereafter proceed with all due diligence substantially to cure the default, then You may terminate this Agreement by written notice to Shift Digital.

8.3 Shift Digital may, at any time and for any reason, terminate this Agreement upon ten (10) days prior written notice to You.

8.4 This Agreement will automatically terminate without requirement of notice by either party effective on the date of the expiration or termination of your franchise agreement with FCA US LLC (“FCA”) for any reason.
 
9. LIMITED WARRANTY; DISCLAIMER
9.1 THE AIM SERVICES WILL BE PROVIDED IN A COMMERCIALLY REASONABLE MANNER AND IN ACCORDANCE WITH INDUSTRY STANDARDS, AND WE WILL COMPLY WITH ALL APPLICABLE LAWS IN THE COURSE OF PERFORMING THE AIM SERVICES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT, EXCEPT FOR THE FOREGOING WARRANTY, YOUR USE OF THE AIM SERVICES IS AT YOUR SOLE RISK AND THAT THE AIM SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” IN PARTICULAR, FCA, SHIFT DIGITAL, AIM, THE SERVICE PROVIDERS, AND THEIR AFFILIATES AND LICENSORS, DO NOT REPRESENT OR WARRANT THAT: (A) THE AIM SERVICES WILL MEET YOUR REQUIREMENTS, OR (B) THE AIM SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR.  ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE AIM SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEMS OR OTHER DEVICES OR FOR ANY LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM FCA, SHIFT DIGITAL, AIM OR ANY SERVICE PROVIDER OR THROUGH OR FROM THE USE OF THE AIM SERVICES SHALL CREATE ANY WARRANTY. FCA, SHIFT DIGITAL, AIM AND THE SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9.2 AIM or a Service Provider will provide set-up of the AIM Services using Your existing computer hardware and software and/or computer hardware and software separately purchased by you from one or more third parties.  Neither Shift Digital, AIM nor any Service Provider warrants any computer hardware or software used by You and does not warrant that any of Your computer hardware or software will be capable of operating the without error.
 
10. LIMITATION OF LIABILITY
10.1 YOU AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FCA, SHIFT DIGITAL, AIM, THE SERVICE PROVIDERS, OR THEIR AFFILIATES, LICENSORS, AGENTS OR EMPLOYEES,  BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INCIDENTAL, PUNITIVE, INDIRECT, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES WHICH MAY BE INCURRED, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS (WHETHER INCURRED DIRECTLY OR INDIRECTLY), LOSS OF CONFIDENTIAL OR OTHER INFORMATION, LOSS OF GOODWILL OR BUSINESS REPUTATION, LOSS OF DATA, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY OR OTHER INTANGIBLE LOSS, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER, ARISING OUT OF OR IN ANY WAY RELATED TO THE AIM SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT FOR THE AIM SERVICES, INFORMATON, SOFTWARE, AND CONTENT RELATED  TO THE AIM SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR BREACH OF CONTRACT OF FCA, SHIFT DIGITAL, AIM, ANY SERVICE PROVIDER, OR ANY OF THEIR AFFILIATES, AGENTS OR EMPLOYEES, AND EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 YOU FURTHER AGREE THAT IN NO EVENT SHALL FCA, SHIFT DIGITAL, AIM, THE SERVICE PROVIDERS, OR THEIR AFFILIATES, LICENSORS, AGENTS OR EMPLOYEES, BE LIABLE TO YOU OR ANY THIRD PARTY WITH RESPECT TO ANY CLAIM OR CAUSE OF ACTION UNDER ANY THEORY OF LIABILITY, WHETHER IN AN EQUITABLE, LEGAL, OR COMMON LAW ACTION ARISING HEREUNDER FOR CONTRACT, STRICT LIABILITY, TORT, OR OTHERWISE, FOR DAMAGES WHICH, IN THE AGGREGATE,  EXCEED THE AMOUNT OF FEES PAID OR PAYABLE TO SHIFT DIGITAL BY YOU UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM OR CAUSE OF ACTION AROSE.
 
11. INDEMNIFICATION
YOU AGREE TO DEFEND, INDEMNIFY AND HOLD FCA, SHIFT DIGITAL, AIM, THE SERVICE PROVIDERS, AND EACH OF THEIR EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, REPRESENTATIVES AND AFFILIATES HARMLESS FROM AND AGAINST ALL LOSS, CLAIMS, DEMANDS, CAUSES OF ACTIONS, AND ADMINISTRATIVE OR REGULATORY ACTIONS OF WHATEVER KIND OR CHARACTER, WHETHER BROUGHT BY YOU OR ANY THIRD PARTY, AND INCLUDING COSTS, ATTORNEYS’ FEES AND EXPENSES RELATING TO THIS AGREEMENT, THE AIM SERVICES,  AND/OR ANY OTHER SERVICES PROVIDED UNDER THIS AGREEMENT, AND/OR THE CONTENT, AND/OR YOUR PRODUCTS AND SERVICES, AND/OR ARISING FROM OR RELATED TO A BREACH OF THIS AGREEEMENT, OR ANY REPRESENTATION OR WARRANTY MADE BY YOU UNDER THIS AGREEMENT, BUT EXCLUDING CLAIMS, DEMANDS AND CAUSES OF ACTIONS ARISING OUT OF THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF THE PERSON OR ENTITY SEEKING INDEMNIFICATION.
 
12. Thirty Party Beneficiaries
FCA, AIM and each Service Provider shall be deemed third party beneficiaries of the indemnification and limitation of liability provisions of this Agreement. Except as expressly provided, there shall be no other third party beneficiaries of this Agreement.
 
13. Force Majeure
Each party hereto shall be excused from performance hereunder, except for payment obligations, and to the extent that it is prevented from performing any obligation hereunder, in whole or in part, as a result of delays caused by the other party or an act of God, war, civil disturbance, court order, labor dispute, third party nonperformance or other cause beyond its reasonable control, including failures, fluctuations or non-availability of electrical power, heat, light, air conditioning, computing or information systems or telecommunications equipment or the inability of hardware or software leased or acquired by sale or license from third parties to process without error or malfunction any date data. Such nonperformance shall not be a default or ground for termination as long as reasonable means are taken to remedy expeditiously the problem causing such nonperformance.
 
14. General Legal Terms
These Additional Terms shall be governed by, and construed in accordance with, the law of the state under which the Master Terms are governed.  No amendment to or modification of these Additional Terms will be binding unless in writing and signed by You and Shift Digital.
 
15. Survival
The provisions of sections 3, 4, 5, 6, 7, 9, 10, 11, 12 , 14 and this section 15, together with any provisions of this Agreement that by their nature should survive termination of this Agreement will survive termination of this Agreement, unless contrary to the pertinent provisions herein stated.

 

Addendum A – AIM Services

  • Process Intro Package
  • Initial Mystery Shop (for the Dealer and two of its direct competitors to audit real-world process performance and establish the need for improvement)
  • One-Time, 2-Day On-Site (at Dealer’s location) Process Installation and Training including:
  • Classroom Training on proper Processes and Accountability Methods
  • One-on-One Hands-on Training for Salespeople and Managers
  • Printed Manuals
  • Installation of Data Organization and Processes within the Dealer’s CRM (analyze and critique the current data organization and lead processes and provide suggestions for improvement)

B. AIM DealNet Lead Saving Program Package
As part of the initial set-up, AIM will: (1) conduct a Mystery Shop of Dealer’s Internet lead process; (2) review Dealer’s lead management process (“Lead Management Process”); (3) set up a data collection process for AIM-specific reports; and (4) conduct, via a web meeting, a process review, user training and oversight outline for Dealer’s employees. 

AIM will: (1) make daily remote contact into the Lead Management Process to measure process compliance; (2) generate and email reports every weekday to grade process compliance, and (3) be available for phone consultations to explain process grading reports.

Services Detail:

  • Initial Mystery Shop (for the Dealer and two of its direct competitors to audit real-world process performance and establish the need for improvement)
  • Appraisal of Data Organization and Processes within the Dealer’s CRM
  • Web Meeting to present CRM Appraisal and training regarding the DealNet Service
  • Daily DealNet Service
    • AUDIT: a trained and qualified auditor will look in the Dealer’s CRM every weekday and find 5 leads that have had 2-way communication with the prospective buyer/customer where there was a breakdown in lead process or procedure compliance.
    • REPORT: The Dealer will receive an emailed report of the 5 leads and the reasons for breakdown in lead process or procedure compliance.
    • FOLLOW UP: After the initial report, the auditor will review those same 5 leads to see if proper follow up occurred AFTER the initial report.
    • GRADE: The Dealer will receive a performance grade on the follow up.
    • Monthly Summary Report of Daily DealNet Service- quantifies up to 100 leads audited during the month, with statistical data on performance and conversion
    • Email and Telephone Support

C.  AIM Complete Solution Package (6 Month Minimum Term)
As part of the initial set-up, AIM will: (1) set-up an Internet lead management process (“AIM Lead Management Process”) using Dealer’s existing computer hardware and software (or computer hardware and software separately purchased by Dealer from third parties), and such process will include AIM-specific reporting templates; (2) set-up a call monitoring and data collection process for AIM-specific reports; and (3) conduct, over a two (2) day period, on-site process setup, user training and oversight for Dealer’s employees. 

AIM will: (i) make daily remote contact into the AIM Lead Management Process to measure process compliance; (ii) and schedule formal onsite Dealer compliance and training sessions each month at which an AIM representative will review sales methods, provide training, provide progress updates and feedback, and discuss areas for improvement with Dealer’s staff and management.

AIM will provide Dealer with daily and monthly reports regarding the AIM Lead Management Process.
AIM will provide Dealer with a monthly Lead Justification Savings Report. The Lead Justification Savings Report will provide Dealer with an analysis of any savings for bad and duplicate Internet leads on Dealer’s monthly pay-per-lead provider bills.

AIM will be available at Dealer’s reasonable discretion to act as Dealer’s liaison and primary contact with all lead providers utilized by Dealer for obtaining Internet customer leads.

Services Detail:
STAGE 1 – LEAD MANAGEMENT

  • Organization of leads within the Dealer’s CRM.
  • Installation of an effective, efficient outbound process for phone calls and emails on fresh leads.
  • Training of Dealer personnel on the process and their roles, including documentation of all lead actions.
  • Establishment of a proper Dealer personnel vs. lead count ratio.
  • Daily Compliance Reports. Manual review of Dealer’s CRM every weekday and alert Dealer personnel on critical process breakdowns.
  • Real-time Phone Call Monitoring with instant alerts for process breakdowns.

STAGE 2- MANAGER INVOLVEMENT / OVERSIGHT

  • Implementation of Processes and Procedures to ensure:
    • Easier Manager Oversight from the data organization in Stage 1.
    • Earlier Manager Involvement with phone call turnovers, resulting in increases in appointments and higher profits on deals.
    • Decisions on car deals are made by Managers, not Salespeople.

STAGE 3 – DIGITAL MARKETING EFFICIENCY

  • Analysis of all digital marketing performance and expenditures, looking for ROI.
  • Verification of implementation of Processes and Procedures before recommendation to obtain additional leads.

MONTH 1: (1) DAY IN-STORE VISIT

  • AIM Lead Management Process/Status Control Follow-Up Training
  • Introduction to Manager Oversight Training
  • Introduction to Manager Involvement (optional – if progress merits)
  • Digital Marketing / Lead Provider Review, Analysis and Consultation

MID-MONTH: REMOTE PROCESS REVIEW

  • Deep-dive Compliance Review with explanations of areas that need improvement.
  • Web-meeting to review Report.

MONTH 2: (1) DAY IN-STORE VISIT

  • Owner/GM Initial Accountability Meeting: Baseline data vs. Improvement
  • AIM Lead Management Process / Status Control Follow-Up Training (Managers and Sales Staff / BDC)
  • Sales Staff Sign-offs on Process (if ready)
  • Daily Compliance Reports from AIM offices begin (if Sales Staff has signed off on Process)
  • Manager Involvement Training (MIT) / Manager Live Turns (MLT)
  • Mystery Shop to evaluate “real-world” progress

MID-MONTH: REMOTE PROCESS REVIEW

  • Deep-dive Compliance Review with explanations of areas that need improvement.
  • Web-meeting to review Report.

MONTH 3: (1) DAY IN-STORE VISIT

  • Second Accountability Meeting (Managers, Owner)
  • Process Follow-Up for Staff (that have not signed off on Process)
  • Sales Training begins (for MLT reinforcement) – Listening/Message Leaving
  • Follow-up on Marketing Review/Analysis
  • New Hire Training (if applicable)

MID-MONTH: REMOTE PROCESS REVIEW

  • Deep-dive Compliance Review with explanations of areas that need improvement.
  • Web-meeting to review Report.

MONTH 4: (1) DAY IN-STORE VISIT:

  • Owner / Managers Accountability Meeting including Digital Marketing Review
  • Sales Staff Training – Manager Live Turn Training / Review of Sales Staff Phone Calls
  • Manager Training – Understanding of MLTs / Process Oversight
  • Mystery Shop

MID-MONTH: REMOTE PROCESS REVIEW

  • Deep-dive Compliance Review with explanations of areas that need improvement.
  • Web-meeting to review Report.

MONTH 5: (1) DAY IN-STORE VISIT

  • Owner / Managers Accountability Meeting
  • Sales Staff Training – 4 Questions to ask an Internet Customer
  • Manager Training – MLT follow-up

MID-MONTH: REMOTE PROCESS REVIEW
